BIO

Mwangi is an experienced corporate and commercial lawyer with over 20 years experience in advising on corporate finance, banking and securities regulation, capital markets, mergers and acquisitions, joint ventures and partnerships, real estate projects, governance and risk management and compliance.

Mwangi has acted as lead counsel to both local and international clients in a number of transactions over the years. His client portfolio includes companies from various industries such as financial services, manufacturing, distribution, retail, construction, real estate investments, and projects.

EXPERIENCE

  • A leading East African investment company in co-ordinating the completion process of a US$195M cross-border M&A transaction, involving the sale of a stake in two Coca-Cola bottling companies.
  • A leading East African investment company in coordinating the documentation and completion process of a USD 7M convertible loan agreement between a leading power company in Nairobi, Kenya and a leading energy financier that invests in commercial and industrial solar energy.
  • Advising a client on the 100% acquisition of the shareholding of a company in the manufacturing sector for a purchase price of USD 6.9 million, as well as the financing of the transaction by a multinational banking corporation. This included negotiating and drawing up the share purchase agreement, the financing agreements as well as procuring the completion documents under those agreements. It also involved preparing an opinion on the applicability of competition law requirements under the Competition Act (the “Act”) and application for exemption of the transaction from the Act.
  • Structuring of a EUR 2.9 million joint venture between a Kenyan corporate entity and a Portuguese corporate entity in the automotive sector. The assignment involved, among other things, drawing up a shareholders agreement, preparing allotments and filing these with the requisite registries, as well as ongoing advisory services around increases of share capital.
  • Advised a leading East Africa investment company on setting up a US$500M private equity fund, including stress-testing to determine attractiveness to international investors.

ADMISSIONS, EDUCATION AND QUALIFICATIONS

Mwangi holds an LLB (Hons) degree from the University of Nairobi, Kenya and a Master of Science degree in Capital Markets, Regulation and Compliance from the University of Reading in the United Kingdom.
Mwangi is an Advocate of the High Court of Kenya and is also a member of the Institute of Certified Secretaries of Kenya.
